Karnex Terms of Service
Karnytine Labs LLC · Effective October 13, 2026
These Terms govern your use of Karnex: the web console at karnex.org, KarnexDesk portals, the Karnex agents, Viewers, Quick Assist and mobile apps, and related services (the "Service"), provided by Karnytine Labs LLC ("Karnex", "we", "us"). By creating an account or using the Service you agree to these Terms, to the Acceptable Use & Anti-Fraud Policy, which is part of these Terms, and to the Privacy Policy. If you accept on behalf of an organization, you confirm you're authorized to bind it, and "you" means that organization.
1. Accounts
- You must be at least 18 years old and give accurate information. Keep your sign-in details secure; we strongly recommend two-factor authentication. You're responsible for activity under your organization's accounts.
- Org Admins control who joins the organization and what each person can do. Tell us at once at support@karnex.org about any unauthorized use.
2. The computers you manage
- Install the Karnex agent or use Quick Assist only on computers you own or are authorized to manage, and only with any consent the law requires from the people who use them. You're responsible for telling those people about Karnex, as the Privacy Policy describes.
- You're responsible for what you and your users do through the Service on those computers, including commands, scripts, software installs and removals, updates, reboots, file transfers and recordings, and for keeping your own backups of your data and systems.
- Don't use the Service for anything the Acceptable Use Policy prohibits, including unauthorized access and support scams. We may suspend or close accounts that do, immediately and without refund.
3. Free trial
New organizations can try a plan free for 14 days with one seat and the add-ons we include, without a payment card. Some features (Quick Assist, KarnexDesk) need a paid plan. One free trial per organization and email address. When a trial ends, the Service pauses until a plan is chosen.
4. Plans, seats and payment
- Prices are shown on karnex.org and on the Billing page in the console. Plans are priced per seat (one technician connected at a time); add-ons are priced per seat, per organization or per pack, as shown.
- Payments are processed by our payment provider, Stripe, which acts as the seller of record and calculates and collects any sales tax, VAT or GST. By subscribing you also agree to the terms Stripe shows at checkout.
- Subscriptions renew automatically each month or year until cancelled. Seat and add-on changes are prorated: on monthly billing they're added to the next invoice; on yearly billing the difference is charged straight away, and anything you remove becomes account credit for later invoices.
- You can cancel at any time. Cancellation takes effect at the end of the current billing period, and you keep the Service until then. Payments are not refundable, except where the law requires a refund. The free trial is there so you can try Karnex before paying.
- If a payment fails, you have 7 days to fix it before the Service pauses.
- We may change prices with at least 30 days' notice before your next renewal. Enterprise agreements are governed by the accepted quote together with these Terms.
5. Pausing, ending and deleting
- When the Service pauses (a trial that ended, a cancelled subscription, or a payment still unpaid after the grace period), your data, history and installed agents are kept for 60 days. If no plan is chosen within those 60 days, the organization and all of its data are permanently deleted, and its agents uninstall themselves. We email your Org Admins before that happens, and you can export your data until then (Settings > Audit).
- An Org Admin can disband the organization at any time, which permanently deletes its data.
- We may suspend or close accounts that break these Terms, that put other people or the Service at risk, or where the law requires it.
6. Your data
You own the data you put into the Service. You give us permission to host, process and transmit it only to provide, secure and support the Service, as the Privacy Policy describes. We don't sell it. Remote desktop sessions are end-to-end encrypted between your Viewer and the remote computer. If we sign a Business Associate Agreement with you, it governs protected health information.
7. Third-party services
The Service relies on the providers listed in the Privacy Policy and can connect to services you choose, such as single sign-on, your own mailbox, Slack or Microsoft Teams, or your security log system. Their own terms apply to your use of them, and we're not responsible for them.
8. Availability and changes
We work to keep the Service available and show its status at karnex.org/status, but we don't promise it will be uninterrupted or error-free, and standard plans come without an uptime commitment. Enterprise customers can agree one in their quote. We may change, add or remove features; we'll give reasonable notice before removing a feature you pay for.
9. Intellectual property
The Service and its software belong to Karnex and its licensors. We give you a limited, non-exclusive, non-transferable right to use it during your subscription under these Terms. Don't copy, resell, reverse engineer (except where the law allows it) or get around its security or limits. If you send us feedback, we may use it without any obligation to you.
10. Confidentiality and security
Each of us protects the other's confidential information with reasonable care and uses it only for the purposes of these Terms. Our security practices are described at karnex.org/security. Please report security issues to support@karnex.org.
11. Disclaimers
Except as these Terms say otherwise, and to the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement. Actions you take on the computers you manage are your responsibility.
12. Limitation of liability
To the extent the law allows: neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and each side's total liability arising out of or relating to these Terms is limited to the amounts you paid Karnex in the 12 months before the event that gave rise to the claim. These limits don't apply to your payment obligations, to your breach of section 2 or the Acceptable Use Policy, or to either side's indemnity obligations.
13. Indemnity
You'll defend and indemnify Karnex against claims by third parties arising from your use of the Service on computers you weren't authorized to access, or from your breach of the Acceptable Use Policy or the law.
14. Changes to these Terms
We may update these Terms. For material changes, we'll tell your Org Admins by email or in the console at least 30 days before they take effect. If you keep using the Service after that, you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Clermont County, Ohio, unless the law where you live requires otherwise.
16. General
These Terms, together with the Acceptable Use Policy, the Privacy Policy, any accepted quote and any Business Associate Agreement, are the whole agreement between us about the Service. If any part is found unenforceable, the rest stays in effect. You may not assign these Terms without our consent; we may assign them with the business. Neither of us is liable for delays caused by events beyond our reasonable control. Notices to you go to your Org Admins' email addresses; notices to us go to support@karnex.org. If these Terms are shown in another language, the English version governs.
